Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and Book Tech, LLC, a Missouri limited liability company ("BookShip," "we," "us," or "our"). By accessing or using the BookShip platform, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

  • "Service" means the BookShip platform, including the web application, online booking portal, APIs, and all related services.
  • "Provider" means a business or individual that uses BookShip to manage appointments, clients, and payments (also referred to as a team owner, admin, or member).
  • "Guest" means an individual who books appointments or purchases services through a Provider's BookShip-powered booking portal.
  • "Team" means a business account on BookShip, created and managed by one or more Providers.
  • "Customer Data" means all data that a Provider or Guest submits, uploads, or generates through the Service, including client records, appointment data, and transaction records.
  • "Booking Portal" means the public-facing online booking page hosted by BookShip on behalf of a Provider.

2. Description of Services

BookShip provides a cloud-based platform for beauty and wellness businesses, including but not limited to:

  • Appointment scheduling — multi-staff calendar management, availability settings, and booking status tracking.
  • Online booking portal — a customizable, public-facing booking page where Guests can browse services, select providers, and book appointments.
  • Payment processing — integrated card payments, point-of-sale terminal support, and cash drawer management, powered by Stripe.
  • Client management — a CRM for storing client contact information, visit history, notes, and preferences.
  • SMS messaging — appointment confirmations, reminders, and two-way text messaging, powered by Twilio.
  • Sales and reporting — transaction tracking, revenue analytics, and staff performance reporting.

3. Account Registration and Eligibility

To use the Service as a Provider, you must create an account. You represent and warrant that:

  • You are at least 18 years of age.
  • You have the legal authority to enter into these Terms on behalf of yourself or the entity you represent.
  • All information you provide during registration is accurate and complete.
  • You will maintain the security of your account credentials and are responsible for all activity under your account.
  • If you operate a licensed profession (e.g., cosmetology, esthetics, massage therapy), you hold all required licenses and permits.

Guests may book appointments through the Booking Portal without creating an account, though account creation is available for managing booking history.

4. Subscription Plans, Fees, and Billing

4.1 Plans

BookShip offers the following subscription tiers:

  • Free Plan — core scheduling, client management, and online booking for up to three (3) team members. No credit card required.
  • Pro Plan — all Free features plus integrated payments, SMS messaging, advanced analytics, and unlimited team members. Billed on a per-seat (per team member) basis.

4.2 Free Trial

New Teams may receive a fourteen (14) day free trial of Pro Plan features. At the end of the trial period, your Team will automatically revert to the Free Plan unless you subscribe to the Pro Plan. No credit card is required for the trial.

4.3 Billing

Pro Plan fees are billed in advance on a monthly or annual basis, depending on the billing cycle you select. Per-seat pricing means your subscription fee is calculated based on the number of active team members. Fees are non-refundable except as required by applicable law.

4.4 Changes to Fees

We may change our subscription fees at any time. If we do, we will provide at least thirty (30) days' advance notice. Continued use of the Service after a fee change constitutes acceptance of the new fees.

4.5 Cancellation

You may cancel your Pro Plan subscription at any time. Cancellation takes effect at the end of your current billing period. Upon cancellation, your Team will revert to the Free Plan and you will retain access to your data.

5. Payment Processing

5.1 Provider as Merchant of Record

BookShip facilitates payment processing but is not the merchant of record for transactions between Providers and Guests. Each Provider is the merchant of record on their own Stripe connected account. When a Guest pays for a service, the payment is processed directly on the Provider's Stripe account. BookShip does not receive, hold, or transmit Guest funds.

5.2 Stripe

Payment processing is provided by Stripe and is subject to the Stripe Services Agreement. By enabling payment processing, you agree to be bound by Stripe's terms. Stripe collects its standard processing fees directly from the Provider.

5.3 Card on File

Guests may save a payment method on BookShip for future use. When a Guest pays a Provider, the saved payment method is securely shared with the Provider's Stripe connected account to process the charge. BookShip does not store full card numbers — card data is tokenized and managed by Stripe in accordance with PCI DSS standards.

5.4 Deposits and Prepayments

Providers may configure their Booking Portal to require a deposit or full prepayment at the time of booking. Deposit amounts and cancellation policies are set by the Provider. BookShip is not responsible for disputes between Guests and Providers regarding deposits, cancellations, or refunds.

5.5 Tips

Guests may add a tip when paying for services. Tips are collected separately from service charges, are not subject to tax, and are routed to the designated team member's account.

5.6 Refunds

Refund policies are determined by each Provider. Providers may issue full or partial refunds through the Service. BookShip does not independently issue refunds to Guests.

6. Online Booking Portal (Guest Terms)

6.1 Relationship Between Guest and Provider

When you book an appointment or purchase a service through the Booking Portal, your contract is directly with the Provider — not with BookShip. BookShip acts solely as a technology platform connecting Guests with Providers and does not provide, endorse, or guarantee any Provider's services.

6.2 Booking and Cancellation

All bookings are subject to the Provider's availability and cancellation policies. Providers may set their own rules regarding booking windows, minimum notice periods, cancellation fees, and no-show charges. You are responsible for reviewing the Provider's policies before booking.

6.3 Accuracy of Information

Guests are responsible for providing accurate contact information (name, email, phone number) when booking. This information is shared with the Provider to facilitate your appointment.

7. SMS and Communications

7.1 Consent to Receive Messages

By providing your phone number and booking an appointment, you consent to receive transactional SMS messages related to your appointment, including confirmations, reminders, and updates. Providers may also send you messages through the Service.

7.2 Message Rates

Standard message and data rates from your carrier may apply to SMS messages you receive.

7.3 Opting Out

You may opt out of SMS messages by replying STOP to any message. Note that opting out may affect your ability to receive appointment reminders and updates.

7.4 Provider SMS Compliance

Providers are solely responsible for ensuring that their use of SMS features complies with all applicable laws and regulations, including the Telephone Consumer Protection Act (TCPA) and applicable state laws. This includes obtaining proper consent from clients before sending SMS messages, honoring opt-out requests, and maintaining records of consent as required by law. BookShip provides the technology platform for SMS messaging but does not independently verify that Providers have obtained consent from their clients.

8. Customer Data and Ownership

8.1 Provider Data Ownership

Providers retain all rights, title, and interest in their Customer Data. BookShip does not claim ownership of any data you submit to or generate through the Service.

8.2 License to Operate

By using the Service, you grant BookShip a limited, non-exclusive, worldwide license to use, process, store, and display your Customer Data solely for the purpose of providing and improving the Service.

8.3 Data Retention

We retain your data for as long as your account is active or as needed to provide the Service. Financial records (payment transactions, sales records) are retained indefinitely for legal and accounting purposes. Upon account termination, we will make your data available for export for a reasonable period before deletion.

8.4 Aggregated Data

We may collect and use anonymized, aggregated data derived from your use of the Service for analytics, benchmarking, and service improvement. Aggregated data does not identify any individual or business.

9. Intellectual Property

9.1 BookShip Property

The Service, including its design, code, features, documentation, and branding, is owned by Book Tech, LLC and protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.

9.2 Your Content

You retain ownership of all content you upload to the Service, including business logos, images, service descriptions, and client records.

9.3 Feedback

If you provide us with feedback, suggestions, or ideas regarding the Service, you grant us an unrestricted, perpetual, irrevocable license to use that feedback for any purpose without compensation or attribution.

10. Use Restrictions

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable local, state, national, or international law.
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service.
  • Access or attempt to access another user's account without authorization.
  • Use the Service to transmit spam, unsolicited messages, or malicious content.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Resell, sublicense, or redistribute access to the Service without our prior written consent.
  • Scrape, crawl, or use automated tools to extract data from the Service.
  • Upload content that infringes on any third party's intellectual property rights.

11. Privacy

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you acknowledge and agree to our data practices as described in the Privacy Policy.

12. Third-Party Services

The Service integrates with third-party providers to deliver certain functionality:

  • Stripe — payment processing, billing, and point-of-sale terminal support.
  • Twilio — SMS messaging and appointment reminders.

Your use of these third-party services is subject to their respective terms and privacy policies. BookShip is not liable for any outages, errors, or data handling by third-party providers.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, BOOKSHIP DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

BookShip does not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected. BookShip does not endorse, guarantee, or assume responsibility for the quality, safety, or legality of any Provider's services.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL BOOKSHIP, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

BOOKSHIP'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO BOOKSHIP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

15. Indemnification

You agree to indemnify, defend, and hold harmless BookShip, its officers, directors, members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service.
  • Your violation of these Terms.
  • Your violation of any applicable law or the rights of any third party.
  • Any dispute between you and a Guest or Provider (as applicable).
  • The services you provide to Guests through the Service (if you are a Provider).

16. Term and Termination

16.1 Term

These Terms are effective as of the date you first access or use the Service and continue until terminated.

16.2 Termination by You

You may terminate your account at any time by contacting us. If you have an active subscription, cancellation takes effect at the end of the current billing period.

16.3 Termination by Us

We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms or if continued use poses a risk to us or other users.

16.4 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will make your Customer Data available for export for thirty (30) days following termination, after which we may delete it. Financial records will be retained as required by applicable law.

17. Governing Law and Dispute Resolution

17.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Missouri, without regard to its conflict of law provisions.

17.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within thirty (30) days of written notice, either party may pursue resolution in the state or federal courts located in Missouri.

17.3 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

18. Miscellaneous

18.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and BookShip regarding the Service and supersede all prior agreements and understandings.

18.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

18.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

18.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.

18.5 Notices

We may provide notices to you via email to the address associated with your account or by posting on the Service. Notices to us should be sent to the contact information provided on our website.

18.6 Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on the Service at least thirty (30) days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
